Terms of Service

1. Acceptance of Terms

The Zellut platform (the “Service”) is provided by Zellut Corporation. By creating an account, inviting team members, or otherwise using the Service, you agree to these Terms and our Privacy Policy. If you are using the Service on behalf of a business, you represent that you have the authority to bind that entity.

2. Account Responsibilities

• You must maintain accurate account, business, and contact information.
• You are responsible for safeguarding credentials and ensuring only authorized personnel access role-specific views.
• You will promptly notify Zellut of any unauthorized access or security incidents.
• You are responsible for complying with applicable laws governing your business and data stored in the Service.

3. Platform Services

Zellut provides software to manage laundry operations, track orders, coordinate drivers, interact with customers, process payments, and generate analytics. We may improve or modify the Service, add or deprecate features, or provide optional beta capabilities. We will provide reasonable notice when material functionality changes.

4. Fees & Payments

Certain modules may require subscription fees, usage-based pricing, or payment processing costs. Unless agreed otherwise in writing, fees are billed through Stripe at the intervals stated in your plan. You authorize Zellut and Stripe to automatically collect charges using the payment method you provide. Late or failed payments may result in suspension until balances are resolved.

5. Data Rights & Ownership

• You retain ownership of merchant data, customer records, and transaction history ingested into the Service.
• Zellut may use aggregated, de-identified information to improve the platform, benchmark performance, and deliver analytics.
• You grant Zellut the licenses necessary to host, process, transmit, and display your data solely to deliver the Service and associated support.

6. Compliance & Acceptable Use

You agree not to:

• Use the Service for unlawful, deceptive, or fraudulent purposes.
• Upload malicious code or interfere with the integrity or performance of the platform.
• Attempt to gain unauthorized access to other Zellut systems or data.
• Resell, sublicense, or white-label the Service without written consent.

7. Suspension & Termination

Zellut may suspend or terminate access if you breach these Terms, fail to pay fees, or if continued service would expose Zellut or others to legal liability. You may terminate at any time by closing your account. Upon termination we will disable access, delete or export data according to our Privacy Policy, and settle outstanding balances.

8. Disclaimers & Limitation of Liability

The Service is provided “as is” and “as available.” To the maximum extent allowed by law, Zellut disclaims implied warranties of merchantability, fitness for a particular purpose, and non-infringement. Zellut’s aggregate liability arising out of or relating to the Service is limited to the fees you paid during the twelve (12) months preceding the event giving rise to the claim. We are not liable for lost profits, indirect, incidental, special, or consequential damages.

9. Governing Law & Dispute Resolution

These Terms are governed by the laws of the State of California, excluding its conflict-of-law principles. Any disputes will be resolved in the state or federal courts located in San Francisco County, California, and you consent to their jurisdiction. Parties will attempt to resolve disputes informally before pursuing litigation.

10. Changes to Terms

We may update these Terms to reflect new features, regulatory requirements, or operational adjustments. Material changes will be communicated through the dashboard or via email with reasonable notice. Continued use of the Service after the effective date constitutes acceptance of the revised Terms.
